PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS PLATFORM

These Terms and Conditions ("Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and 123 CR Services LLC, a Delaware limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the website located at 123creditboost.com ("Site") and all related services, software, tools, content, dispute letter generation systems, and artificial intelligence features offered therein (collectively, "Services"). BY ACCESSING THE SITE, CREATING AN ACCOUNT, SUBMITTING AN EMAIL ADDRESS, OR USING ANY PORTION OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE AND SERVICES.

1. CREDIT REPAIR ORGANIZATIONS ACT (CROA) — MANDATORY STATUTORY DISCLOSURES

FEDERAL LAW REQUIRES THE FOLLOWING DISCLOSURES — 15 U.S.C. § 1679c

(a) RIGHT TO DISPUTE DIRECTLY: You have a right to dispute inaccurate information in your credit report by contacting the credit reporting agency directly. There is no fee for filing a dispute with a credit reporting agency. You may contact the three major credit reporting agencies — Equifax (P.O. Box 740256, Atlanta, GA 30374), Experian (P.O. Box 4500, Allen, TX 75013), and TransUnion (P.O. Box 2000, Chester, PA 19016) — at no cost to exercise your rights under the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq.

(b) ILLEGAL PROMISES: It is unlawful for any credit repair organization to make untrue or misleading representations regarding the services it provides, or to engage, directly or indirectly, in any act, practice, or course of business that constitutes or results in fraud or deception on any person in connection with the offer or sale of such services.

(c) NO ADVANCE PAYMENT FOR UNRENDERED SERVICES: No credit repair organization may charge or receive money or other valuable consideration for the performance of any service which the credit repair organization has agreed to perform for any consumer before such service is fully performed.

(d) CROA APPLICABILITY: To the extent the Services provided hereunder constitute "credit repair services" as defined under 15 U.S.C. § 1679a, the Company acknowledges its obligations under CROA and agrees to comply therewith. Nothing in this Agreement shall be construed to waive any right or remedy provided under CROA that cannot be contractually waived.

(e) RIGHT OF CANCELLATION: You may cancel any contract with a credit repair organization at any time before midnight of the 3rd business day after the date of the transaction without penalty or obligation. Cancellation requests must be submitted in writing to: 123 CR Services LLC, 8 The Green, Ste A, Dover, DE 19901, or via the contact page at 123creditboost.com/contact.

The Company operates as an automated self-help document preparation service. The Company provides software tools, templates, artificial intelligence systems, and guided workflows to assist consumers in drafting their own credit dispute letters, which consumers then review, approve, and may submit on their own behalf. The Company does not represent consumers before any credit reporting agency, creditor, collection agency, or other entity. Users retain sole responsibility for reviewing, submitting, and following up on any dispute letter generated through the Services.

2. NO ATTORNEY-CLIENT RELATIONSHIP — NOT LEGAL, FINANCIAL, OR CREDIT ADVICE

WE ARE NOT LAWYERS. WE DO NOT PROVIDE LEGAL ADVICE. THIS IS NOT A LAW FIRM.

Nothing contained in these Terms, the Site, the Services, any communication from the Company, or any document, letter, or output generated through the Platform constitutes, or shall be construed as, legal advice, legal representation, legal counsel, financial advice, investment advice, tax advice, credit counseling, or debt management advice. No attorney-client relationship, fiduciary relationship, confidential relationship, agency relationship, partnership, or any other privileged or professional relationship is created or implied by your use of the Services or your interaction with Company personnel. You are strongly encouraged to seek independent advice from licensed attorneys, certified financial planners, or licensed credit counselors before taking any action that may affect your legal rights, financial standing, or credit profile.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

The Services are available exclusively to natural persons who are (a) at least eighteen (18) years of age; (b) legal residents or citizens of the United States of America; (c) not barred from receiving services under applicable federal or state law; and (d) acting in their own individual capacity, not as an agent or representative of another person or entity without express written authorization. By accessing the Services, you represent and warrant that you satisfy all foregoing eligibility requirements.

If you create an account, you agree to: (i) provide accurate, current, and complete registration information; (ii) maintain and promptly update your information; (iii) maintain the confidentiality of your login credentials; (iv) accept all responsibility for all activity that occurs under your account; and (v) notify the Company immediately of any unauthorized use of your account. The Company reserves the right to suspend, terminate, or refuse registration to any user at its sole discretion.

Users who submit an email address for lead-capture purposes without creating a full account ("Lead Users") similarly represent that they are eligible to use the Services and consent to these Terms in their entirety as a condition of accessing the Services.

4. DESCRIPTION OF SERVICES — SCOPE AND LIMITATIONS

The Company provides a software-as-a-service ("SaaS") platform that enables users to (i) answer guided questions regarding disputed items on their consumer credit reports; (ii) generate draft dispute letters through the Company's proprietary artificial intelligence systems; (iii) review, approve, modify, and download such letters in PDF format; and (iv) optionally, through a paid subscription, authorize the Company to mail such letters via USPS Certified Mail through third-party fulfillment providers.

The Services are limited strictly to the foregoing. The Company does not, and shall not be deemed to: (a) guarantee or predict the outcome of any credit dispute; (b) act as a consumer's representative, advocate, or agent before any credit reporting agency, creditor, or collection agency; (c) provide any form of legal, financial, or credit counseling; (d) manage, negotiate, or settle any debt on a consumer's behalf; or (e) make any filing, submission, or communication on a consumer's behalf other than the physical mailing of letters authorized and approved by the consumer pursuant to a paid plan.

5. NO WARRANTY OF RESULTS — ABSOLUTE DISCLAIMER OF OUTCOME GUARANTEES

CRITICAL — READ THIS SECTION IN ITS ENTIRETY

  • THE COMPANY MAKES ABSOLUTELY NO REPRESENTATION, WARRANTY, GUARANTEE, OR PROMISE, WHETHER EXPRESS OR IMPLIED, THAT THE USE OF ANY DISPUTE LETTER, SERVICE, OR TOOL PROVIDED THROUGH THIS PLATFORM WILL RESULT IN: (I) THE REMOVAL OF ANY ITEM FROM YOUR CONSUMER CREDIT FILE; (II) ANY IMPROVEMENT IN YOUR CREDIT SCORE OR CREDITWORTHINESS; (III) THE APPROVAL OF ANY CREDIT APPLICATION, LOAN, MORTGAGE, OR LEASE; OR (IV) ANY OTHER SPECIFIC FINANCIAL OUTCOME.
  • OUTCOMES DEPEND ENTIRELY UPON FACTORS OUTSIDE THE COMPANY'S CONTROL, INCLUDING BUT NOT LIMITED TO: THE POLICIES AND PROCEDURES OF EQUIFAX INFORMATION SERVICES LLC, EXPERIAN INFORMATION SOLUTIONS, INC., AND TRANSUNION LLC; THE CONDUCT OF ORIGINAL CREDITORS AND DEBT COLLECTORS; THE ACCURACY AND COMPLETENESS OF DOCUMENTATION PROVIDED BY THE USER; APPLICABLE FEDERAL AND STATE LAW; THE PASSAGE OF TIME; AND INDIVIDUAL CREDIT HISTORY CIRCUMSTANCES.
  • PAST PERFORMANCE OR ILLUSTRATIVE OUTCOMES REFERENCED ON THE SITE ARE NOT INDICATIVE OF FUTURE RESULTS AND ARE PROVIDED FOR ILLUSTRATIVE PURPOSES ONLY.

6. ELECTRONIC SIGNATURE — ESIGN ACT COMPLIANCE AND AUTHORIZATION

By drawing, typing, or otherwise affixing a signature through the Company's electronic signature interface and affirmatively checking the corresponding authorization checkbox, you acknowledge and agree that: (a) such signature constitutes your legally binding electronic signature for all purposes under the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq., "ESIGN Act") and the Uniform Electronic Transactions Act ("UETA") as adopted in applicable states; (b) such signature has the same legal force and effect as a handwritten wet-ink signature; (c) you authorize the Company and its authorized third-party mailing fulfillment partners (including but not limited to Lob, Inc.) to embed such signature into any dispute letter you have approved for mailing; and (d) you represent that the signature is your own, that you have authority to execute the document to which it is affixed, and that you are not acting in a fraudulent or deceptive capacity.

Signature data is retained in base64-encoded image format. Signature data transmitted to third-party mailing providers is governed by such providers' privacy policies and data retention schedules, in addition to the Company's Privacy Policy. Signature data used solely for one-time letter generation is not permanently stored unless you affirmatively opt to save it for future use.

7. PROPRIETARY AI SYSTEMS — LIMITATIONS, DISCLOSURES, AND DATA LICENSE

The Company employs proprietary large language model ("LLM") systems and artificial intelligence technology, including integration with third-party AI inference providers (including but not limited to Google LLC's Gemini models, OpenAI, LP, and Anthropic PBC), to generate, review, and refine dispute letter drafts ("AI-Generated Content"). The Company's proprietary AI review system performs automated pre-submission checks for completeness of FCRA-required fields, presence of applicable legal citations, and identification of language patterns historically associated with dispute rejection. SUCH AUTOMATED REVIEW IS NOT INFALLIBLE AND DOES NOT CONSTITUTE LEGAL REVIEW BY A LICENSED ATTORNEY.

AI-Generated Content may contain errors, inaccuracies, omissions, outdated legal citations, or language that is inappropriate for your specific circumstances. You are solely responsible for reviewing all AI-Generated Content before submitting or mailing any dispute letter.

DATA LICENSE FOR AI TRAINING

By submitting any data, information, narrative, or input through the Platform, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, store, process, anonymize, aggregate, and incorporate such data into the Company's proprietary AI models and product improvement systems. Data used for AI training purposes may be retained in anonymized or aggregated form even after account deletion. Third-party AI providers processing your data are subject to their own data usage and privacy policies, which the Company does not control.

8. SUBSCRIPTION PLANS, BILLING, AND CANCELLATION POLICY

Free Plan: The Free plan permits one (1) dispute letter generation per registered email address. The generated letter may be downloaded as a PDF for the user to print and mail at their own expense. The Company does not mail letters on behalf of Free plan users.

Pro Plan: The Pro plan, currently priced at $39.99 USD per billing month, provides users with access to up to three (3) USPS Certified Mail dispute letter submissions per billing cycle, plus unlimited letter downloads. By subscribing to the Pro plan, you expressly authorize the Company to charge your designated payment method on a recurring monthly basis until you cancel. All charges are processed through Stripe, Inc. ("Stripe"), a third-party payment processor subject to Stripe's own terms of service.

No Refunds: ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE, except as required by applicable law or as expressly provided in the Company's refund policy posted on the Site. Cancellation of your subscription does not entitle you to a refund of any amounts paid for the current or prior billing cycles. Access continues until the end of the then-current paid period.

Plan Modifications: The Company reserves the right to modify subscription pricing, features, plan structures, and billing intervals at any time upon reasonable notice. Continued use of the Services after such notice constitutes acceptance of the modified terms.

Fair Use: Usage exceeding reasonable personal use thresholds, including but not limited to programmatic access, bulk letter generation, or commercial resale of generated letters, is prohibited and may result in account suspension without refund.

9. PROHIBITED USES

You agree that you shall not use the Services for any purpose that is unlawful, unauthorized, or inconsistent with these Terms. Without limiting the foregoing, you expressly agree not to:

  • Submit false, fraudulent, misleading, or materially inaccurate information in any dispute letter;
  • Dispute any credit entry that you know to be accurate, valid, and legitimately reported under applicable law;
  • Generate letters on behalf of any person other than yourself without express written authorization from that person;
  • Use the Services in any manner that violates the Fair Credit Reporting Act, Fair Debt Collection Practices Act, Credit Repair Organizations Act, or any other applicable federal or state statute;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform;
  • Scrape, crawl, or programmatically extract data from the Site without prior written consent;
  • Resell, sublicense, or commercially exploit the Services or any AI-Generated Content;
  • Use the Services to harass, threaten, or harm any individual or entity;
  • Circumvent any technological access controls or security measures;
  • Introduce any malware, virus, trojan horse, worm, or other harmful code.

Violation of any foregoing restriction may result in immediate account termination, and the Company reserves the right to pursue all available legal remedies.

10. INTELLECTUAL PROPERTY RIGHTS

All content, technology, software, algorithms, source code, data models, user interfaces, visual design, trademarks, service marks, trade names, logos, and other intellectual property comprising or embedded within the Site and Services (collectively, "Company IP") is owned by or licensed to the Company and is protected by United States and international copyright, trademark, patent, trade secret, and other applicable intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own personal, non-commercial dispute letter preparation purposes only. No other license or right is granted. Nothing in these Terms shall be construed as transferring or assigning any ownership of Company IP to you.

Dispute letters generated through the Services and approved by you are your property. However, the underlying templates, algorithms, AI models, and prompts used to generate such letters remain the exclusive property of the Company.

11. DISCLAIMER OF WARRANTIES

Warranty Disclaimer — Read Carefully

THE SITE, SERVICES, AI-GENERATED CONTENT, DOCUMENTS, AND ALL MATERIALS ARE PROVIDED ON AN STRICTLY "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (I) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (II) WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; (III) WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULT; (IV) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME; (V) WARRANTIES AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT; AND (VI) WARRANTIES REGARDING LEGAL COMPLIANCE IN ANY PARTICULAR JURISDICTION.

12. LIMITATION OF LIABILITY — AGGREGATE CAP AND EXCLUSIONS

Maximum Limitation of Liability — Critical Legal Protection

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUBSIDIARIES, LICENSORS, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, "COMPANY PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR ENHANCED DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; ADVERSE CREDIT OUTCOMES; PERSONAL INJURY; EMOTIONAL DISTRESS; OR ANY COST OF SUBSTITUTE SERVICES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE CAP: THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES FOR ALL CLAIMS ARISING HEREUNDER SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE SIX (6) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100.00 USD). SOME JURISDICTIONS DO NOT PERMIT CERTAIN LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS THE FOREGOING LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. INDEMNIFICATION

YOU AGREE, AT YOUR OWN EXPENSE, TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE COMPANY PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LIABILITIES, LOSSES, DAMAGES, JUDGMENTS, SETTLEMENTS, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES, EXPERT FEES, AND COURT COSTS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH: (I) YOUR ACCESS TO OR USE OF THE SERVICES; (II) YOUR BREACH OF THESE TERMS OR VIOLATION OF ANY APPLICABLE LAW OR REGULATION; (III) ANY FALSE, INACCURATE, OR FRAUDULENT INFORMATION SUBMITTED BY YOU; (IV) YOUR DISPUTE LETTERS OR COMMUNICATIONS WITH CREDIT REPORTING AGENCIES, CREDITORS, OR COLLECTION AGENCIES; (V) INFRINGEMENT BY YOU OF ANY THIRD-PARTY INTELLECTUAL PROPERTY, PRIVACY, OR PUBLICITY RIGHTS; OR (VI) ANY CLAIM BY A THIRD PARTY ARISING FROM YOUR USE OF THE SERVICES. THIS INDEMNIFICATION OBLIGATION SURVIVES TERMINATION OF THIS AGREEMENT.

14. DISPUTE RESOLUTION — BINDING ARBITRATION AND CLASS ACTION WAIVER

IMPORTANT — WAIVER OF JURY TRIAL AND CLASS ACTION RIGHTS — READ CAREFULLY

(a) Informal Resolution Requirement: Before initiating any arbitration or court proceeding, you agree to first notify the Company in writing of the nature of your dispute and the relief sought and to allow the Company thirty (30) calendar days to attempt informal resolution. Notices must be sent by certified mail to 123 CR Services LLC, 8 The Green, Ste A, Dover, DE 19901.

(b) Binding Arbitration: If informal resolution fails, any and all disputes, claims, or controversies arising out of or relating to these Terms, the Privacy Policy, the Services, or your relationship with the Company (except small claims court matters and applications for injunctive or equitable relief to protect the Company's intellectual property) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single neutral arbitrator. The arbitrator's award shall be final, binding, and non-appealable except on the limited grounds specified in the Federal Arbitration Act (9 U.S.C. § 1 et seq., "FAA"). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

(c) CLASS ACTION WAIVER: YOU AND THE COMPANY EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ARBITRATION OR LITIGATION, AND AGREE THAT ANY PROCEEDINGS SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR CONDUCT A CLASS PROCEEDING. If for any reason this class action waiver is found unenforceable, then the dispute shall be resolved exclusively in court and not by arbitration.

(d) WAIVER OF JURY TRIAL: TO THE EXTENT ANY MATTER PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND THE COMPANY IRREVOCABLY WAIVE ANY AND ALL RIGHTS TO TRIAL BY JURY.

(e) Opt-Out: You may opt out of this arbitration agreement by notifying the Company in writing within thirty (30) days of first accepting these Terms. Opting out does not affect your other rights or obligations under these Terms.

15. GOVERNING LAW AND JURISDICTION

These Terms and all matters arising out of or relating hereto shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. To the extent any dispute is not subject to arbitration pursuant to Section 14, you and the Company irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts sitting in New Castle County, Delaware, and waive any objection based on improper venue, inconvenient forum, or lack of personal jurisdiction.

16. THIRD-PARTY SERVICES, INTEGRATIONS, AND DISCLAIMERS

The Services integrate with third-party platforms and service providers including, without limitation: Stripe, Inc. (payment processing); Lob, Inc. (certified mail fulfillment); Google LLC (AI inference via Gemini API); Google LLC (analytics via Google Analytics 4); reCAPTCHA (fraud prevention); Cloudflare, Inc. (network security and CDN); and USPS (mail delivery). THE COMPANY DOES NOT CONTROL, ENDORSE, OR ACCEPT ANY RESPONSIBILITY FOR SUCH THIRD-PARTY SERVICES, THEIR AVAILABILITY, PERFORMANCE, ACCURACY, SECURITY, OR COMPLIANCE WITH APPLICABLE LAW. YOUR USE OF ANY THIRD-PARTY SERVICE IS SUBJECT TO THAT SERVICE'S TERMS AND PRIVACY POLICY. THE COMPANY DISCLAIMS ALL LIABILITY FOR ANY LOSS OR DAMAGE ARISING FROM YOUR USE OF OR RELIANCE ON THIRD-PARTY SERVICES.

17. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused, directly or indirectly, by circumstances beyond the Company's reasonable control, including but not limited to: acts of God; natural disasters; pandemic, epidemic, or public health emergency; war; terrorism; civil unrest; governmental action; regulatory change; internet infrastructure failures; power outages; third-party service provider failures; or any other event or condition outside the Company's reasonable control (collectively, "Force Majeure Events"). In the event of a Force Majeure Event, the Company's obligations shall be suspended for the duration of such event.

18. ACCOUNT TERMINATION AND SUSPENSION

The Company reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to the Services, with or without prior notice and without liability, for any reason including but not limited to: violation of these Terms; suspected fraud, abuse, or illegal activity; excessive chargebacks; submission of false dispute information; use of the Services on behalf of third parties without authorization; inactivity; or any other conduct the Company deems detrimental to the integrity or security of the Services. Upon termination, all licenses granted hereunder immediately terminate and you must cease all use of the Services. Sections of this Agreement that by their nature should survive termination shall survive, including without limitation Sections 5, 7, 10, 11, 12, 13, 14, 15, and 19.

19. MODIFICATIONS, SEVERABILITY, WAIVER, AND ENTIRE AGREEMENT

Modifications: The Company may revise these Terms at any time by posting an updated version on the Site. Revisions are effective immediately upon posting. Your continued use of the Services following any revision constitutes your irrevocable acceptance of the modified Terms.

Severability: If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, void, unenforceable, or contrary to applicable law, such provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Waiver: No failure or delay by the Company to exercise any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof.

Entire Agreement: These Terms, together with the Company's Privacy Policy and Disclaimer, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
